SLATE FITNESS ONLINE COACHING AGREEMENT, LIABILITY WAIVER & TERMS OF SERVICE
(Recurring Subscription Coaching Program — Shopify Billing)

OPENING AGREEMENT CLAUSE
This Online Coaching Agreement, Liability Waiver & Terms of Service (“Agreement”) is entered into between Layla Gully, doing business as Slate Fitness (“Coach”), and the individual purchasing coaching services (“Client”).
By purchasing, enrolling in, or participating in any Slate Fitness coaching program through Shopify checkout, the Client confirms that they have read, understood, and agreed to all policies, waivers, billing terms, and participation requirements outlined in this Agreement.

1. Description of Coaching Services
Slate Fitness provides online fitness coaching which may include:
  • Customized gym-based workout programs
  • Exercise demonstrations and technique instruction
  • Structured meal plans and general nutrition guidance
  • Biweekly coaching calls
  • Accountability coaching and progress tracking
  • Messaging support through Trainerize
Slate Fitness does not provide medical care, physical therapy, or licensed dietetic services.
All nutrition information is for general educational fitness purposes only.

2. Recurring Subscription Billing (Shopify Authorization)
By purchasing a subscription, the Client authorizes:
  • automatic recurring billing through Shopify
  • monthly charges of $300
  • automatic renewal until cancelled according to policy
Billing authorization remains active until cancellation is properly submitted.
The Client acknowledges that subscription payments are recurring and will continue until cancelled under the terms of this Agreement.

3. Mandatory 90-Day Commitment
Enrollment requires a minimum 90-day commitment consisting of three consecutive monthly billing cycles.
This structure exists to ensure:
  • consistency in coaching
  • adequate time for program adherence
  • measurable progress

4. No Cancellation or Pause During Initial 90 Days
Clients may not:
  • cancel services
  • pause services
  • request refunds
during the initial 90-day commitment period.

5. Cancellation Policy After 90 Days
After completing the initial commitment:
  • clients may cancel at any time
  • written notice must be submitted via email or approved client portal process
  • cancellation requests must be submitted at least 7 days before the next billing date
Failure to provide timely notice may result in one additional billing cycle.
Coaching services remain active through the end of the final paid billing period.

6. Pause Policy
After the 90-day commitment period:
  • clients may request a temporary pause
  • pause requests must be submitted in writing
  • approval is at the Coach’s discretion
  • billing resumes automatically after the approved pause period

7. No Refund Policy
Due to the digital and service-based nature of coaching:
  • no refunds will be issued for completed billing cycles
  • no refunds for unused coaching time
  • no refunds for remaining portions of commitment periods
  • payments secure access to coaching availability, programming, and support

8. Exceptional Circumstances
In rare cases such as serious illness or emergency:
  • written requests for partial credit may be submitted
  • approval is not guaranteed
  • decisions are made solely at the Coach’s discretion

9. Client Responsibilities & Participation
Clients agree to:
  • complete onboarding honestly
  • disclose injuries and health conditions
  • train responsibly in gym environments
  • submit regular check-ins
  • communicate concerns promptly
  • attend scheduled biweekly calls when possible
Failure to participate consistently does not qualify for refunds.

10. Non-Compliance Clause
Failure to follow program guidance, submit check-ins, or participate actively may impact results.
Coaching services will continue regardless of participation level once billing has occurred.

11. Gym Training Assumption of Risk
The Client acknowledges:
  • they are training independently in gym environments
  • exercise equipment carries inherent risks
  • Slate Fitness does not provide in-person supervision
The Client assumes full responsibility for:
  • exercise execution
  • equipment usage
  • gym safety compliance

12. Nutrition & Meal Plan Disclaimer
Meal plans and nutrition guidance are:
  • general fitness recommendations
  • non-medical in nature
  • not individualized medical nutrition therapy
Clients must consult medical professionals for:
  • medical conditions
  • allergies
  • pregnancy
  • clinical dietary needs

13. Communication Policy
Coaching includes:
  • biweekly calls
  • Trainerize messaging
  • email support
Typical response time is 24–48 business hours.
Emergency support is not provided.

14. Results Disclaimer
Slate Fitness makes no guarantee regarding:
  • weight loss
  • body composition
  • strength gains
  • health outcomes
Results depend on individual effort and consistency.

15. Intellectual Property
All programs, meal plans, and coaching materials remain property of Slate Fitness.
Clients may not:
  • copy or redistribute materials
  • share login access
  • resell programs

16. Chargeback & Payment Dispute Policy
Clients agree to contact Slate Fitness first to resolve concerns prior to initiating payment disputes.
Program access records, communication logs, and service delivery may be used to dispute unauthorized chargebacks.
Unauthorized disputes may result in:
  • termination of services
  • collections action where permitted by law

17. Conduct & Termination Policy
Services may be terminated for:
  • harassment
  • abusive behavior
  • unsafe training practices
  • policy violations
  • payment failure
No refunds will be issued for termination due to misconduct.

18. Liability Waiver
Participation in exercise involves inherent risks.
The Client voluntarily assumes all risks associated with training and releases the Coach from liability for injuries or damages except where prohibited by law.

19. Agreement Acceptance
By completing purchase through Shopify checkout, the Client confirms that they:
  • reviewed this Agreement prior to purchase
  • understand recurring billing terms
  • acknowledge the 90-day commitment
  • agree to all policies and waivers herein
